A law firm seeks a Corporate Attorney to join its Corporate Practice Group in Philadelphia. The ideal candidate will have extensive experience in private equity and private real estate investment fund formation.

Duties

• Assist clients in all aspects of fund formation, private placements, and securities regulation.
• Represent venture capitalists, private equity firms, hedge fund managers, and family offices in various transactions.
• Advise on investment fund structuring, including fund terms and conditions and investor negotiations.
• Manage day-to-day fund operations.

Requirements

• Minimum of seven years of relevant experience.
• Excellent academic credentials.
• Admission to the respective state bar.

Education

• Juris Doctor (JD) degree.

Certifications

• State bar admission.

Skills

• Strong understanding of the Securities Act of 1933, Investment Advisers Act of 1940, and Investment Company Act of 1940.
• Proficiency in fund structuring and investor negotiations.
