Job Overview
A law firm seeks a mid- to senior-level associate to join its Technology Transactions practice in New York. The ideal candidate will have experience handling complex commercial matters involving intellectual property and technology, and will provide guidance across a wide range of corporate and transactional matters. This role offers exposure to both strategic IP-related projects and general corporate transactions, including mergers, acquisitions, and financing arrangements.
Duties
Draft, review, and negotiate a variety of technology and intellectual property agreements, including licensing, development, supply, distribution, and service contracts.
Provide counsel on trade secret protection, privacy, and related compliance matters.
Advise on intellectual property issues arising in corporate transactions such as mergers and acquisitions, carve-outs, leveraged buyouts, and debt financings.
Collaborate with cross-functional teams to identify risks and develop effective legal strategies.
Conduct legal research and analysis to support business and transactional objectives.
Requirements
3–6 years of experience handling technology-focused commercial matters and intellectual property-related issues.
Proven ability to evaluate and advise on IP matters in the context of corporate transactions.
Active membership in the bar of the relevant jurisdiction.
Strong analytical, negotiation, and communication skills.
Ability to work independently while managing multiple priorities in a fast-paced environment.
Education
Juris Doctor (JD) degree from an accredited law school.
Certifications
Admission to practice law in the relevant state bar.
Skills
Expertise in drafting and negotiating IP and technology agreements.
Knowledge of corporate transactional processes, including M&A and financing.
Strong attention to detail and strategic thinking.
Excellent verbal and written communication skills.
Ability to manage client relationships and collaborate effectively across teams.
