Job Overview:
An established law firm is seeking a Corporate Finance Associate Attorney with 2 to 6 years of experience in commercial finance transactions. The ideal candidate will handle complex lending matters and represent both borrowers and lenders in middle-market transactions. The position offers an excellent opportunity to work on a wide range of secured and unsecured financing deals, including cross-border transactions, and to build expertise in Uniform Commercial Code (UCC) matters. 

Location:

• Buffalo, NY

Duties:

• Represent clients in middle-market commercial lending transactions

• Provide legal counsel on secured transactions under the Uniform Commercial Code

• Advise on structuring and execution of:

  • Term loans

  • Letters of credit

  • Acquisition financing

• Draft and negotiate equipment leasing and finance agreements

• Manage legal aspects of secured and unsecured cross-border credit facilities

• Collaborate with colleagues across legal disciplines on transaction matters

Requirements:

• 2 to 6 years of experience in commercial finance law

• Demonstrated ability to manage complex transactional matters independently

• Experience representing both lenders and borrowers preferred

• Strong attention to detail and organizational abilities

Education:

• Juris Doctor (J.D.) from an accredited U.S. law school

Certifications:

• Active bar membership in good standing in New York or eligibility for admission by waiver

Skills:

• Strong legal drafting and negotiation skills

• In-depth knowledge of UCC Article 9 and commercial lending practices

• Excellent written and verbal communication

• Sound legal judgment and analytical thinking

• Ability to work collaboratively within multidisciplinary legal teams
