In-House Lawyer needed for New York City office

Job Overview: A law firm in New York City seeks an experienced and qualified In-House Lawyer to provide expert legal advice and support in negotiating and resolving issues related to Outside Counsel Guidelines (OCG) and Engagement Terms. The ideal candidate will possess strong commercial acumen, exceptional communication skills, and the ability to work collaboratively in a fast-paced environment.

Job Duties:

• Serve as an in-house legal specialist for OCG and Engagement Terms, providing expert advice and counsel to Partners and senior BD staff.
• Analyze and resolve professional, legal, regulatory, and commercial issues arising from OCG and Terms, referring complex issues to the Head of Engagement Terms when necessary.
• Respond to OCG and Terms queries, ensuring compliance with global practices, rules, and regulations.
• Assist in monitoring changes in practice, rules, and regulations affecting OCG and Terms, updating firm guidance and standard form precedents accordingly.
• Support creating and maintaining precedents and know-how resources for OCG and Terms.
• Proactively streamline processes and increase efficiency within the Engagement Terms Team.
• Assist in developing and implementing global Terms/OCG policies, processes, and systems.
• Design and deliver training programs for firm lawyers and support departments on OCG and Terms.
• Retrospectively audit existing OCG and Terms, identifying constraints and documenting review dates.
• Demonstrate people management skills and mentorship interest.
• Exhibit a commercially minded approach with strong contract/commercial law expertise.
• Analyze facts and scenarios thoroughly to propose resolutions to legal and commercial problems.
• Manage multiple tasks/projects under time pressure with excellent task/project management skills.
• Demonstrate a strong interest in legal technology and leverage technology-based solutions.
• Possess excellent communication skills and the ability to work independently and collaboratively in a team.
• Display flexibility to work outside usual hours when dictated by business requirements.

Requirements:

• Qualified lawyer with significant experience in contract/commercial law and contract reviews.
• Experience with top-tier firms or professional services firms is preferred.
• Strong background in commercial, mergers and acquisitions, finance transactions, or dispute resolution advantageous.
• Excellent communication skills at all levels.
• Proven ability to work independently, take the lead on projects, and drive them to completion.
• Collaborative approach and ability to work effectively in a team.
• Commercially minded with a proactive and enthusiastic attitude.
• Flexibility to adapt to changing business requirements.
