The ideal candidate will bring a deep understanding of fund lifecycle operations and demonstrate the ability to support complex capital-raising strategies. This role is ideal for someone seeking to work within a collaborative, top-tier legal team handling sophisticated fund matters for leading investment clients.

Duties:

• Advise clients on the structuring, formation, and operational aspects of private equity and other investment funds

• Draft and negotiate limited partnership agreements, side letters, and fund documentation

• Support capital raising activities, including investor onboarding and compliance

• Collaborate with tax, regulatory, and corporate attorneys on cross-functional matters

• Participate in client meetings and provide strategic legal counsel on fund governance and management

• Manage deal workflow and mentor junior associates when appropriate

Requirements:

• Relevant experience in investment fund formation at a reputable law firm

• Demonstrated expertise in advising on fund structures, operations, and investor negotiations

• Strong client service orientation and business judgment

• Admitted to practice law and in good standing in New York State

Education:

• Juris Doctor (JD) degree from an accredited law school

• Strong academic track record

Certifications:

• Admission to the New York State Bar (active and in good standing)

Skills:

• Advanced knowledge of private capital structures and fund regulatory frameworks

• Proficiency in drafting fund documents and handling complex legal transactions
