A law firm seeks a skilled Associate Attorney to join its Corporate Department's Asset Management Group, focusing on private investment funds. This position involves advising clients on creating, structuring, and operating private funds, ensuring regulatory compliance, and delivering tailored legal solutions to meet client business objectives.

Duties

  • Guide clients on the formation and structuring of private investment funds.
  • Draft and negotiate fund-related documents, including limited partnership agreements, private placement memoranda, subscription agreements, and side letters.
  • Ensure compliance with securities laws and other regulatory requirements.
  • Offer ongoing legal counsel to fund managers and investors.
  • Perform due diligence and review investment documents.
  • Assist clients with fund marketing strategies and investor relations.
  • Advise on secondary transactions, fund restructurings, and other complex fund-related matters.
  • Monitor and interpret changes in laws and regulations affecting private funds.
  • Collaborate with internal and external professionals to deliver comprehensive legal services.

Requirements

  • 3–6 years of legal experience handling private investment fund matters, ideally at a national or global law firm.
  • Deep understanding of securities laws and regulatory frameworks relevant to private funds.
  • Proven expertise in drafting and negotiating fund documents.
  • Strong ability to manage multiple, time-sensitive projects independently while mentoring junior associates.

Education

  • Juris Doctor (JD) degree from an accredited law school.

Certifications

  • Admission to the bar in the applicable jurisdiction.
