A law firm seeks a Corporate Debt Finance Associate in New York, New York. The role involves advising issuers and underwriters on debt issuances across public and private markets in the U.S. and Europe, as well as advising private equity funds and corporate borrowers on various financing facilities.

Duties

• Advise on debt issuances for issuers and underwriters in public and private markets.
• Provide guidance to private equity and real estate investment funds on fund finance facilities.
• Advise sponsors and corporate borrowers on cash flow and asset-based debt financings.
• Structure and document private credit transactions for alternative capital sources.
• Advise on debt at different levels of the capital structure, including senior loans and mezzanine debt.
• Address topical issues in debt finance transactions, including liability management.

Requirements

• JD degree from an ABA-approved law school or foreign equivalent.
• Licensed to practice law and a member in good standing in New York.
• Licensed with the Solicitors Regulation Authority of England and Wales.
• 7 years of experience as an Associate advising on cross-border debt financing.
• Experience drafting LMA and LSTA based credit documents.
• Experience advising on transactions involving multilateral development banks.
• Experience representing sponsors, borrowers, and lenders in domestic and cross-border financings.
• Experience representing private equity and credit funds on fund finance transactions.
• Experience advising on domestic and cross-border debt securities offerings.

Education

• JD degree from an ABA-approved law school or foreign equivalent.

Certifications

• Licensed to practice law in New York.
• Licensed with the Solicitors Regulation Authority of England and Wales.

Skills

• Strong advisory skills in debt finance transactions.
• Proficiency in drafting complex credit documents.
