Paralegal

The candidate will assist in the management of corporate governance of multiple entities, including company formation and dissolution, maintenance of corporate books, and drafting and filing of company resolutions, annual consents, and various routine state filings. Review and abstract contracts, including leases and merchandising, IT and fuel agreements, and serve as the first stop resource for internal contract related inquiries, such as payment and operational obligations, upcoming expirations and agreement renewal terms. Oversee the contract management process, including responding to contract intake requests, assisting in preparation and review of contracts and amendments at direction of legal counsel, and maintaining completed contracts in the company’s contract management database. Perform legal research and help track regulatory proposals to assist the operations team in assessing potential risks to the business. Potentially assist in the preparation of public company filings, including forms for directors and officers, and posting and maintaining documents for company directors on the applicable software system. Perform additional duties as assigned and participate in special projects, as required from time to time. Bachelor's Degree and 5+ years of corporate law experience, with a law firm or relevant experience as a paralegal in a large in-house environment preferred. Thorough grasp of corporate governance, contracts, regulatory compliance, and legal matters. Proficient in MS office applications Outlook, Word, Excel, and PowerPoint. Outstanding interpersonal, verbal and written communication skills. Ability to work both independently and as part of a cross-functional team with minimal supervision in a fast-paced environment and remain flexible and adaptable to rapidly change priorities white remaining focused. Excellent organizational skills. High level of confidentiality and discretion in handling legal matters. Self-starter who drives individual projects and takes ownership of outcomes. Notary Public preferred, but not required.
