Job Overview:
A well-established law firm is seeking a Senior Associate Attorney to support nonprofit organizations through a wide range of legal matters. This role requires expertise in nonprofit business and tax law, as well as the ability to provide hands-on legal guidance for new and existing nonprofit clients. The ideal candidate will have a strong background in nonprofit governance, tax-exempt status, and related legal services, with a focus on transactional matters. Duties:

• Provide legal advice and assistance to nonprofit organizations throughout their lifecycle, from formation to dissolution.
• Offer guidance on nonprofit governance, tax-exempt status, and compliance with nonprofit business and tax laws.
• Draft, review, and negotiate legal documents, including contracts, mergers, asset transfers, and policies tailored to the nonprofit sector.
• Conduct legal research and provide detailed opinions on complex matters impacting nonprofit organizations.
• Lead and collaborate with a team of professionals to ensure effective legal support to clients.

Requirements:

• Juris Doctor (JD) degree from an accredited law school.
• Active admission to the Minnesota State Bar.
• At least 3 years of experience in nonprofit business and tax law, with a preference for 5-7 years of overall attorney experience.
• Mastery of federal and state nonprofit laws, regulations, and tax-exempt issues.
• Familiarity with Minnesota employment laws and data privacy regulations is highly desirable.
• Excellent research, analytical, and problem-solving skills.
• Strong attention to detail and ability to manage complex legal issues.

Education:

• Juris Doctor (JD) degree from an accredited law school.

Certifications:

• Admission to the Minnesota State Bar.
