Job Overview:
A prestigious law firm is seeking a Capital Markets Associate Attorney with 2 to 3 years of experience in equity and/or debt capital markets to join its team in San Francisco. This position offers a dynamic opportunity to represent innovative clients in the technology and life sciences sectors, including startups, public companies, venture capital funds, and investment banks. The associate will play a key role in advising on IPOs, follow-on offerings, and public company compliance.

Location:

• San Francisco, CA

Duties:

• Represent issuers and underwriters in equity and debt capital markets transactions

• Advise clients through IPOs, follow-on offerings, and private placements

• Draft and review registration statements, prospectuses, and SEC filings

• Provide ongoing counsel to public company clients on securities law compliance and corporate governance

• Collaborate with internal teams and clients to manage deal flow and execution

• Work closely with venture capital firms and institutional investors on market transactions

Requirements:

• 2 to 3 years of relevant capital markets experience at a peer law firm

• Direct experience handling public securities offerings, including both equity and debt transactions

• Strong knowledge of SEC rules, regulations, and disclosure requirements

• Demonstrated ability to work independently and collaboratively in high-pressure environments

Education:

• Juris Doctor (JD) from an accredited U.S. law school

Certifications:

• Active bar membership in California, depending on office location

Skills:

• Excellent drafting and communication skills

• High-level organizational skills and attention to detail

• Strong client-service orientation with ability to manage client relationships
