Job Overview:
A prestigious law firm is seeking a Capital Markets Associate Attorney with 2 to 3 years of experience in equity and/or debt capital markets to join its team in San Francisco. The associate will play a key role in advising on IPOs, follow-on offerings, and public company compliance.

Duties:
Represent issuers and underwriters in equity and debt capital markets transactions
Advise clients through IPOs, follow-on offerings, and private placements
Draft and review registration statements, prospectuses, and SEC filings
Provide ongoing counsel to public company clients on securities law compliance and corporate governance
Collaborate with internal teams and clients to manage deal flow and execution
Work closely with venture capital firms and institutional investors on market transactions
Requirements:
2 to 3 years of relevant capital markets experience at a peer law firm
Direct experience handling public securities offerings, including both equity and debt transactions
Strong knowledge of SEC rules, regulations, and disclosure requirements
Demonstrated ability to work independently and collaboratively in high-pressure environments
Education:
Juris Doctor (JD) from an accredited U.S. law school
Certifications:
Active bar membership in California, depending on office location
Skills:
Excellent drafting and communication skills
High-level organizational skills and attention to detail
Strong client-service orientation with ability to manage client relationships
