Duties:

• Advise clients on various LLC and partnership matters, including the formation of entities, complex LLC and partnership agreements, and joint ventures.
• Draft, review, and negotiate complex LLC agreements, including preferred returns and waterfalls.
• Handle complex partnership agreements, including California professional LLPs.
• Supervise and mentor junior attorneys and associates.
• Collaborate with fellow attorneys within the firm, engaging in cross-referrals and joint business development efforts.
• Participate in the firm’s marketing and business development initiatives, including client updates and blogs.

Requirements:

• Juris Doctorate from an ABA-accredited law school.
• Active membership and good standing with the State Bar of California.
• Minimum 10 years of experience in LLC and partnership law, with a strong background in entity formation, complex agreements, and joint ventures.
• Ability to work independently while collaborating with a team.
• Highly motivated, proactive, and driven professional.
• Must be a California resident.

Education:

• Juris Doctorate (JD) from an ABA-accredited law school.

Certifications:

• Admitted to practice law in the State of California.

Skills:

• Extensive knowledge of LLC and partnership law, including complex agreements and joint ventures.
• Strong interpersonal and communication skills.
• Ability to supervise and guide junior attorneys.
• Experience with business development and marketing strategies.
• Proficiency in drafting and negotiating legal documents.
