The candidate should have a proven track record of leading due diligence teams, managing specialists, and drafting transaction documents. Excellent writing skills, superior academic credentials, and the ability to manage multiple assignments with minimal supervision are essential.

Duties:

• Lead due diligence teams in reviewing and analyzing transaction documents.
• Manage specialists across various practice areas involved in M&A transactions.
• Draft, review, and negotiate a wide range of transaction documents, including purchase agreements, merger agreements, and ancillary documents.
• Advise clients on legal issues related to mergers and acquisitions, venture capital, corporate governance, and general corporate matters.
• Provide strategic guidance and practical solutions to clients in the structuring and execution of complex corporate transactions.
• Conduct research and provide analysis on legal and regulatory issues impacting M&A and corporate transactions.
• Coordinate and communicate effectively with clients, opposing counsel, and internal team members to ensure smooth transaction processes.
• Stay current on developments in corporate law and industry trends to provide up-to-date advice and strategies to clients.
• Maintain accurate and organized records of all transaction-related documents and communications.
• Mentor and supervise junior associates and paralegals as needed.

Requirements:

• 3-6 years of experience in corporate law, with a focus on mergers and acquisitions, venture capital, and corporate governance.
