Mid-Level/Senior MampA Associate Attorney

Profile

A law firm in Dallas is actively seeking a highly experienced Mid-Level/Senior M&A Associate Attorney with a minimum of 4 years of substantial major law firm experience. The ideal candidate should have a strong background in working on sophisticated M&A transactions, both private and public. Additional experience in capital markets transactions, corporate governance/fiduciary duty counseling, and securities law compliance matters will be considered a significant plus.

Duties:

• Lead and participate in sophisticated M&A transactions, both private and public.
• Provide legal counsel on capital markets transactions.
• Advise clients on corporate governance and fiduciary duty matters.
• Handle disclosure and other securities law compliance matters.
• Draft and review legal documents, contracts, and agreements.
• Conduct due diligence and legal research as needed.

Requirements:

• Minimum of 4 years of major law firm experience.
• Substantial experience in sophisticated M&A transactions.
• Additional experience in capital markets, corporate governance, and securities law compliance is a plus.

Education:

Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

Admission to practice law in the relevant jurisdiction.

Skills:

• Strong understanding of M&A transactions.
• Legal research and analytical abilities.
• Excellent written and oral communication skills.
• Ability to handle complex legal negotiations.
