Corporate Governance & Finance Counsel

The candidate will be providing key corporate governance support, education, and resources for our internal teams and our Board with an eye toward public company readiness (think: developing resolutions and presentations, drafting committee charters, supporting independence analyses, educating on confidentiality and ethics matters, and so much more) , Partnering with our Finance team on global equity matters to maintain and continue to develop our best-in-class equity program (including researching and assisting with questions concerning equity awards, bylaws, and administration), Supporting our Finance and other internal teams with financial reporting, audits, and disclosures, Assist with regulatory reporting requirements, as applicable, Pitch in on whatever legal work needs doing, including support on ethics and compliance investigations, Tackling innovative challenges and new areas of law and learning our industry and business. J.D. from accredited law school and licensed to practice in CA (or ability to apply for registered in-house counsel), 4+ years of relevant experience, including corporate governance work at a law firm (in-house experience a plus!), Deep knowledge of corporate governance laws, requirements, and best practices for companies at Plaid’s stage, Proactive, self-starter who enjoys collaborative work environments and partnering with stakeholders, Willingness to roll up sleeves (no job too big or small), Excellent issue-spotter, who can analyze legal issues from various angles, draft key documents, and communicate clearly, Strong attention to detail and organizational skills are required.
