Job Overview:
A leading national law firm is seeking an experienced Senior Counsel to join its Pensions, Benefits & Investments practice group. This position is suited for a highly skilled attorney with at least 8 years of experience advising on private fund investments and/or public market transactions. Candidates should have worked across various asset classes on either the investor or manager side. This is a non-partner track position that offers the opportunity to handle high-impact, complex legal matters across the firm's client base.
Location:

Duties:
Advise institutional clients on private fund investments, including legal structuring and compliance
Draft, review, and negotiate fund documents, side letters, and investment management agreements
Represent clients in public market transactions and related regulatory matters
Provide counsel on fiduciary responsibilities and governance structures
Manage multiple high-level projects and maintain ownership over complex transactional matters
Collaborate with attorneys across practice groups to deliver comprehensive legal solutions
Requirements:
Minimum of 8 years of experience in private funds, pensions, benefits, or investment law
Experience with multiple asset classes and fund types on the investor or manager side
Proven ability to independently manage complex legal projects and client relationships
Strong organizational skills and ability to prioritize competing demands
Education:
Juris Doctor (J.D.) from an accredited law school
Strong academic credentials preferred
Certifications:
Must be admitted to the bar in the state where the attorney will be located
Skills:
In-depth knowledge of fund structures, capital commitments, and fiduciary frameworks
Advanced drafting and negotiation skills in the context of investment documentation
Strong analytical, research, and communication abilities
Capable of operating in a collaborative, cross-office team environment
Business-oriented mindset with client-focused problem-solving skills
