Job Overview

A law firm seeks a midlevel corporate associate with experience in emerging companies and venture capital for their Newport Beach office. The candidate will provide legal guidance on corporate and transactional matters, supporting clients from formation to exit.

Duties

• Advise emerging companies and venture capital investors on corporate and transactional matters.
• Draft and negotiate venture capital financing documents, including term sheets and convertible notes.
• Provide legal guidance on corporate governance, including board and shareholder issues.
• Support mergers and acquisitions, joint ventures, and strategic transactions.
• Conduct due diligence and assist in transactional closings.
• Act as outside corporate counsel to early and late-stage private companies.
• Manage internal and external client and counsel relationships.

Requirements

• 3 to 5 years of relevant experience.
• Licensed or eligible to become licensed to practice law in California.
• Reside in the Newport Beach area at or prior to the time of hire.
• Work in the office at least three business days per week.

Education

• JD from an ABA Accredited Law School.

Certifications

• Licensed to practice law in California.
