Duties
Collaborate on cross-border and domestic corporate transactions involving distressed companies and special situations
Lead diligence efforts, prepare transaction documentation, and coordinate closing processes
Support restructurings, chapter 11 proceedings, and out-of-court reorganizations
Assist in structuring and negotiating debt-for-equity swaps, distressed asset sales, and debtor-in-possession financings
Manage communications with clients, lenders, and other stakeholders to advance restructuring strategies
Draft and review purchase agreements, subscription agreements, disclosure schedules, and related corporate contracts
Monitor developments in bankruptcy and insolvency law, advising internal teams on potential impacts to transactions
Requirements
Four to five years of law firm experience handling general corporate/M&A and exposure to restructuring or bankruptcy matters
Demonstrated ability to shepherd M&A transactions from inception through closing, including effective coordination of due diligence and deal logistics
Solid understanding of finance instruments, debtor-creditor relationships, and restructuring mechanics
Proven track record of drafting high-quality transaction documents under tight deadlines
Strong organizational skills with the capacity to juggle multiple projects simultaneously
Excellent interpersonal abilities to interact with clients, investment professionals, and co-counsel
Education
Juris Doctor from an accredited law school
Active membership in the New York State Bar (or eligibility to become admitted via reciprocity)
Certifications
None required, though any specialized training in restructuring, insolvency, or finance is a plus

Advanced proficiency in legal research and analysis of corporate, bankruptcy, and securities regulations
Exceptional written advocacy for crafting persuasive transactional documents and deal memoranda
