Duties:

• Draft and negotiate transactional documents such as purchase agreements, shareholder agreements, and financing instruments

• Conduct legal due diligence and assess investment opportunities

• Advise on compliance issues about private equity investments

• Assist in fund structuring and formation for private equity clients

• Counsel on corporate governance and securities-related issues

• Work collaboratively across practice areas to support seamless deal execution

• Take the lead on key components of transactional matters

• Provide mentorship and supervision to junior team members

• Stay informed on developments in private equity law and industry standards

Requirements:

• 4–6 years of substantive experience in private equity transactional work

• Prior involvement with private equity sponsors and strategic investors

• Familiarity with corporate law, M&A, and securities regulations

• Strong skills in negotiation, document drafting, and legal analysis

• Ability to manage multiple priorities in a fast-paced setting

Education:

• Juris Doctor (J.D.) from an ABA-accredited law school

Certifications:

• Admission to practice law in at least one U.S. jurisdiction (New York Bar preferred)

Skills:

• Exceptional written and verbal communication skills

• Detail-oriented with the ability to work independently and as part of a team

• Competence in managing complex transactions and supervising junior attorneys
