Senior Legal Counsel, Chemicals & Products

What’s the Purpose:

Shell’s Chemicals & Products (“C&P”) organization has transformed its global refining footprint into 5 high value Energy & Chemical Parks, enabling growth in products like hydrogen, biobased and circular chemical feedstocks and low carbon fuels. These Energy & Chemicals Parks, together with Shell’s global chemicals manufacturing facilities, are positioning Shell to become a leader in circularity and decarbonization to help our customers and society thrive through the energy transition.

Shell seeks a talented and highly motivated senior lawyer to join its C&P team in either the Houston, Texas or Calgary, Alberta office. This role supports the C&P business in the United States and the broader C&P legal team in Europe and Asia Pacific. The successful candidate will report to the Managing Counsel C&P Americas and be part of an exciting and diverse team, working side-by-side with our C&P business partners to counsel on a wide variety of legal issues as more fully described below. Shell Legal offers a hybrid office/work-from-home model designed to support flexibility.

The Senior Legal Counsel is expected to be a strategic business partner who may be called upon to advise senior leadership team(s) within the C&P organization in North America. The Senior Legal Counsel will be required to act as a legal integrator, coordinating and collaborating with legal colleagues supporting C&P or other Shell businesses in support of C&P’s growth projects, primarily on the U.S. Gulf Coast, as well as on C&P’s other activities in North America. C&P is aggressively pursuing new business development (“NBD”) opportunities and models to deliver lower CO2 products and circular and performance chemicals, as well as to source new feedstocks. The Senior Legal Counsel will be required to lead on these NBD activities, advising on high value potential collaborations with emerging and established industry participants involving complex and novel legal and business risks.

What’s the Role:

As a Senior Legal Counsel in C&P, you will be responsible for the following duties:

Lead and/or support C&P growth & NBD projects and acquisition & divestment (“A&D”) activities in North America (and primarily in the U.S. Gulf Coast).

Lead on the drafting, negotiating and advising for the C&P business in North America on high-value contracts, including long term, complex product sales, exchange, feedstock purchase, tolling, pipeline transportation, logistics framework and/or terminalling services contracts, as well as on operational and compliance issues for a variety of product lines, including new and emerging sustainable products.

Provide legal support to the Energy & Chemicals Park in Louisiana and chemicals facilities in Texas and Louisiana, including on ESG and environmental justice initiatives, stakeholder management and emergency response.

Identify continuous improvement opportunities and share best practices and new ways of working with the global C&P business and Legal community, including through development of templates/legal processes, the adoption of new legal support tools/online training modules, etc.

Give compliance and C&P specific legal/contracting training to encourage more business self-help and reduce legal risks in the business.

Work with business leaders to help develop and embed a business culture with the right focus on ethics & compliance in line with the Shell Control Framework.

Embed Shell Legal Downstream ways of working principles, including a focus on ethics & compliance, health, safety, security and the environment, and diversity, equity & inclusivity.

Mentor and coach less experienced legal colleagues, both in North America and globally.

What We Need from You:

Must have legal authorization to work in US on a full-time basis for anyone other than your current employer.

Candidates must have a minimum of 12 (twelve) years of legal experience and a strong commercial transactional background.

Must be a lawyer qualified to practice in the U.S.

Strong preference for extensive prior new business development (“NBD”) , project development and/or A&D experience, particularly resolving legal or regulatory issues where the legal/regulatory framework may have been nascent, ambiguous, or uncertain.

Strong preference for extensive commercial legal experience in negotiating high value, complex and/or long-term (e.g., 10 years ) contracts and managing risk across a range of interconnected contracts for integrated projects/supply chains.

Preference for prior energy and/or chemicals downstream marketing experience (e.g., feedstock supply and refined or manufactured product sales) with understanding of different energy or chemical product value chains/business drivers.

Great team player with a global mindset and ability to work within a culturally diverse global C&P legal team, both face to face and virtually, and with business colleagues and counterparts at all levels.

Demonstrated ability to develop a dynamic skillset, to remain comfortable with ambiguity, to make sound decisions independently, and to solve problems in integrated, multidisciplinary teams.

Excellent legal and strategic judgment, modelling a learner mindset, and strong analytical skills with a track-record of developing creative solutions to legal and commercial issues.

Excellent verbal and written communication and organizational skills, experience managing multiple projects simultaneously, and an ability to reliably follow through with instructions and consistently meet deadlines.

Experience in identifying and leading continuous improvement projects and implementing new ways of working/best practices.

Strong influencing skills and the ability to establish effective relationships and to build trust with a range of internal and external stakeholders, often at senior levels and from a range of cultures.

Willing to undertake travel in North America, as required, for business support.
