Job Overview

A law firm seeks a Capital Markets Associate in Chicago, IL. The ideal candidate will have 2 to 4 years of experience in securities and capital markets, with a focus on Exchange Act filings and corporate governance.

Duties

• Prepare Exchange Act filings, including Forms 10-K, 10-Q, and 8-K.
• Represent issuers and underwriters in equity and/or debt offerings.
• Counsel public companies on disclosure and corporate governance.
• Advise on SEC and stock exchange reporting and compliance.
• Engage in general corporate and transactional matters.

Requirements

• 2 to 4 years of relevant experience.
• Bar admission or eligibility to obtain admission promptly in the jurisdiction of resident office location.

Education

• Juris Doctor degree from an ABA accredited law school.

Certifications

• Bar admission in the relevant jurisdiction.

Skills

• Strong understanding of securities and capital markets.
• Proficiency in preparing Exchange Act filings.
• Excellent communication and counseling skills.
