Job Overview:

A distinguished law firm located in New York City, NY is seeking a highly skilled legal professional with 6–7 years of substantive experience in capital markets. The role offers an opportunity to work on a wide range of sophisticated transactions involving securities offerings, public and private capital-raising initiatives, and regulatory matters. The successful candidate will work closely with seasoned partners and collaborate across interdisciplinary teams, contributing to major domestic and international client projects.

Duties:

• Support corporate clients in executing public and private equity and debt offerings

• Prepare and review offering memoranda, prospectuses, and other disclosure documents

• Advise clients on compliance with securities regulations and stock exchange requirements

• Collaborate with internal practice groups including M&A, finance, and tax

• Conduct due diligence and manage transaction workflows and closing processes

• Participate in drafting and negotiating underwriting agreements and related contracts

• Guide ongoing corporate governance and periodic reporting obligations

Requirements:

• 6-7 years of focused experience in capital markets and securities law

• Strong foundation in transactional law and regulatory frameworks

• Proven ability to manage complex deals from inception to closing

• Experience with 1933 and 1934 Act filings and reporting obligations

• Exceptional drafting, analytical, and project management skills

• Demonstrated ability to collaborate effectively with legal and business teams

Education:

• Juris Doctor (J.D.) degree from an accredited law school

Certifications:

• Admission to the New York State Bar (active and in good standing)

Skills:

• Detail-oriented with strong problem-solving capabilities

• Excellent verbal and written communication abilities

• Capacity to manage competing priorities under tight deadlines

• Strategic thinker with a client-first approach

• Familiarity with cross-border transactions is a plus
