Business Tax Associate

Job Overview:
A well known law firm is seeking a Business Tax Associate with at least three years of law firm tax experience to join its nationally recognized Business Tax Group. The position focuses on sophisticated domestic and cross-border transactional tax matters, including mergers and acquisitions, private equity, fund formations, international investments, and tax credit transactions. The associate will collaborate with attorneys across multiple corporate practice groups while advising a broad range of public and private clients.

Duties:

• Advise clients on the tax aspects of domestic and cross-border business transactions
• Structure taxable and tax-free mergers and acquisitions
• Provide tax advice on private equity transactions, buyouts, restructurings, and joint ventures
• Advise on partnership and LLC structuring
• Counsel clients on fund formations, sponsor-level planning, GP stakes, and secondary transactions
• Advise on inbound and outbound international investments and financings
• Assist with corporate reorganizations and financing transactions
• Advise on tax credit investments, including new markets, historic, low-income housing, and energy tax credits
• Analyze complex federal, state, and international tax issues
• Draft and negotiate tax provisions in transactional documents
• Prepare tax memoranda and legal analyses
• Collaborate with the firm's corporate, finance, private equity, and investment funds practice groups
• Utilize innovative legal technology, including Harvey AI, to support research, drafting, and analytical work

Requirements:

• Minimum of 3 years of law firm experience as a tax associate
• Experience advising on transactional tax matters
• Experience with taxable and tax-free mergers and acquisitions
• Experience with private equity transactions, fund formations, and international investments
• Strong technical tax knowledge
• Ability to analyze sophisticated tax issues and provide practical business advice
• Experience drafting and negotiating transactional tax provisions
• Ability to manage multiple complex transactions in a fast-paced environment
• Strong judgment and collaborative approach

Education and Certifications:

• Juris Doctor (J.D.) from an accredited law school
• LL.M. in Taxation strongly preferred
• Active bar admission in the applicable jurisdiction
