Senior Commercial Counsel
Duties: Review, draft and negotiate a variety of commercial agreements, including NDAs, strategic partnerships, vendor and supplier deals, software licenses, and other commercial agreements as needed. Build and improve contract templates, processes and tools to help the business scale. Administration and resolution of legal issues and contract interpretation matters that arise in existing commercial relationships. Participate in strategic projects, financings, transactions, and initiatives, as well as provide support in general corporate matters. Be an active and trusted business partner, and ensure the provision of timely business-focused advice to business clients by identifying potential legal issues and mitigating risk. Provide quick, concise, and practical legal advice consistent with Shutterfly’s business objectives. Participate in handling disputes that may arise in existing commercial relationships. Drive best practices in multiple legal projects, ranging from drafting contract templates and playbooks to contract management policies and legal support processes, with the goal of providing efficient and timely legal support to clients. Train clients on company policies and processes. Help educate legal team members on commercial best practices, templates, and processes. Assist with a wide variety of other matters that are part of the work of an in-house attorney, such as corporate governance and related process and implementing relevant corporate policies and record-keeping.
