Duties and Responsibilities:

• Represent issuers and investment banks in public and private offerings of securities.
• Advise publicly traded companies on compliance with the Securities Exchange Act of 1934 and exchange listing standards.
• Guide corporate governance and related regulatory matters.
• Draft and review offering documents, registration statements, and other securities-related documents.
• Conducted due diligence and prepared related reports for securities transactions.
• Collaborate with internal teams and clients to ensure accurate and timely legal advice.
• Stay updated on securities laws and regulations changes to provide relevant and strategic counsel.
• Manage complex legal issues and provide solutions proactively and efficiently.
• Mentor and train junior attorneys and legal staff as needed.

Requirements:

• A minimum of 8+ years of experience in securities and capital markets law.
• Proven experience representing issuers and investment banks in securities offerings.
• Demonstrated expertise in compliance with the Securities Exchange Act of 1934 and exchange listing standards.
• Relevant prior experience in a law firm environment.
• Strong ability to work collaboratively in a team setting.
• Excellent oral and written communication skills.
• High level of enthusiasm for client service and initiative.

Education:

• Juris Doctor (JD) degree from an accredited law school.
• Admission to the bar in New York.

Certifications:
