A law firm seeks an Associate Corporate SPAC Attorney in New York, United States. This role involves working with partners to execute capital markets transactions and assist clients in compliance with SEC, FINRA, Stock Exchange, and other securities-based legal requirements.

Duties

• Advise clients on public offerings, private placements, and other securities sales.
• Draft and negotiate registration statements and related documents.
• Assist in forming new entities and structuring organizational documents.
• Collaborate with issuers, investment banks, and financial advisors.
• Communicate with regulatory bodies to obtain clearances.
• Participate in deal structuring discussions.
• Draft proxy statements and assist with corporate governance.
• Prepare and review issuer filings required by the Exchange Act.

Requirements

• Qualified to practice law in New York.
• Active member in good standing with the New York Bar Association.
• 3-7 years of capital markets experience; SPAC experience preferred.
• Strong drafting, analytical, and communication skills.

Education

• Juris Doctor (JD) degree.
