Key Responsibilities:

• Navigate and manage a broad spectrum of commercial transactions, including drafting, reviewing, and negotiating contracts, service agreements, mergers, acquisitions, and joint ventures.

• Serve as a trusted advisor to clients, providing counsel on business structuring, regulatory compliance, and risk mitigation strategies.

• Collaborate with internal legal teams and external stakeholders to ensure the seamless execution of transactional matters.

• Engage in business development activities, leveraging professional networks to cultivate client relationships and expand the firm’s corporate clientele.

• Offer strategic guidance on complex contractual negotiations and assist clients in navigating evolving commercial landscapes.

• Maintain a comprehensive understanding of corporate governance issues and emerging trends that may affect clients’ business operations.

Essential Qualifications:

• A minimum of 5 years of experience practicing corporate law with a focus on commercial transactions and business agreements.

• Demonstrated expertise in handling a variety of transactional matters across multiple industries.

• Proven ability to manage client relationships independently and provide high-level strategic legal advice.

• A book of business would be considered a plus.

• Admission to the New York State Bar and in good standing.

Educational Background:

• Juris Doctor (J.D.) degree from an accredited law school.
