Senior Paralegal & Contract Manager

Duties: Prepare sales and purchase contracts. Negotiate contract terms with internal and external business partners. Review and update existing contracts. Explain terms and conditions to managers and interested parties. Ensure that employees understand and comply with company contracts. Analyze potential risks involved with specific contract terms. Stay up-to date with legislative changes and coordinate with the legal department as needed. Ensure all deadlines and conditions described on contracts are met (e.g. payments and shippings). Maintain organized system of physical and digital records. Create language standards for existing and new contracts. Perform legal, regulatory and factual investigative research. Perform records research. Identify relevant judicial decisions, statutes, legal articles, codes and other pertinent material. Organize and analyze information. Cross-check and validate information. Prepare written reports and findings of investigations. Draft legal documents including briefs, pleadings, appeals, agreements, contracts and legal memoranda. Help prepare legal arguments, applications, declarations and motions. Prepare correspondence. Check and edit legal forms and documents for accuracy. Build and maintain databases and files. Organize and track case files. Review and monitor new and updated laws and regulations. Prepare and review legal documents including employee contracts, confidentiality agreements, stock certificates, shareholder agreements, financial reports, articles, lease agreements. Monitor and ensure compliance with state, local and federal regulations. Prepare UCC searches and filings. Research and prepare documentation for the formation and maintenance of corporate, partnership and LLC entities. Prepare and track paperwork for mergers, acquisitions, dissolutions, amendments and withdrawals. Draft shareholder consents and proxies. Draft corporate resolutions and related documents. Maintain and organize minute books. Manage meetings for Boards and corporate entity structure. Maintain and manage databases. Respond to and manage discovery requests throughout the organization. Coordinate and assist with subpoenas and depositions for company personnel. Maintain legal contract database. Maintain legal litigation and risk management database and documentation. Maintain legal record keeping. Maintain Board books and minutes. Maintain and support company policy review process. Manage contract review and management process. 5. Assist in promoting a team atmosphere by treating individuals with respect and honesty and by using direct communication and active listening skills. Be open to change and actively support change. Be open to others’ ideas and points of view. Promote department goals as well as the mission of Rogers Behavioral Health. Communicate goals to fellow staff members. Demonstrate measurable goal achievement. Maintain department policies and procedures Participate in in-services, seminars, and other meetings as assigned to increase involvement and awareness of Joint Commission and other regulatory agency compliance regulations. Participate in committees, Rogers Operating System (ROS) team meetings, and team projects, as directed. Demonstrate punctuality and preparedness. Demonstrate effective communication skills. Demonstrate good organizational skills. Contribute in a positive, solution-focused manner. Attend department meetings as needed, actively participate in discussions, recognize and contribute to activities leading to improvement. Participate in the ROS program. Gain understanding of the ROS process. Apply the ROS model to your department’s activities. Participate and/or create ROS projects that lead to improvement of your department Conduct self in a professional manner Demonstrate organizational skills that promote timely response to all inquiries and to task completion Communicate with all individuals in a positive and professional manner Attempt to resolve individual issues with peers in a positive, calm manner, with a focus on solution Communicate concerns and provide solutions for same Attend outside seminars and/or educational classes to promote professional growth and meet continuing education requirements Demonstrate a positive and professional attitude toward parties outside Rogers Behavioral Health (i.e. academic partners, professional guest speakers etc.) Comply with Rogers Memorial Hospital policies and procedures, including Human Resources, Infection Control, and Employee Health policies and programs. Project a professional image by wearing appropriate, professional attire as defined in Rogers Memorial Hospital policy.
