Job Overview

A law firm seeks a junior or mid-level associate to join its Fund Formation group in San Francisco, CA. The ideal candidate will focus on growth equity and venture capital fund formation and operations, with experience in private investment funds or a similar group at a top-tier law firm.

Duties

• Advise funds in all stages of operations, including preparing offering materials and drafting governing agreements.
• Negotiate with investors and draft side letters.
• Counsel fund managers on securities laws and structuring investments.
• Advise on general fund operations, including compliance and regulatory matters.

Requirements

• JD from 2020 to 2024.
• Previous large law firm experience required.
• High level of academic achievement from a nationally recognized law school.
• Strong preference for candidates licensed to practice law in California and in good standing.

Education

• Juris Doctor (JD) degree.

Certifications

• Licensed to practice law in California preferred.

Skills

• Experience with venture capital, private equity, or growth equity funds.
• Knowledge of the Investment Company Act, Investment Advisers Act, and Securities Act.
