Mid-to-Senior Level Corporate Associate Attorney

A law firm in San Francisco, CA, is seeking a Mid-to-Senior Level Corporate Associate Attorney to join their Startup and Venture Capital Group. The ideal candidate should have a strong affinity for technology and/or life sciences companies. Superior academic credentials, excellent oral, written, and interpersonal skills are essential. In-house candidates with previous law firm experience are encouraged to apply. Candidates must be barred in the state of California.

Duties and Responsibilities:

• Provide legal advice and support to startup, venture capital, and emerging company clients on corporate governance, financing transactions, and mergers and acquisitions.
• Draft, review, and negotiate a wide range of corporate agreements, including financing documents, shareholder agreements, and equity compensation plans.
• Conduct due diligence and manage transactions related to venture capital financings, mergers, acquisitions, and strategic investments.
• Collaborate with partners and senior attorneys to manage client relationships, develop new business opportunities, and participate in business development initiatives.
• Stay current with legal and industry developments impacting startup and venture capital clients and provide proactive counsel accordingly.
• Handle general corporate matters including entity formation, corporate structuring, and compliance.

Requirements:

• Juris Doctor (JD) degree from an accredited law school; admitted to the State Bar of California.
• 3+ years of experience in a sophisticated corporate law practice with a focus on startup, venture capital, and emerging company representation.
• Strong understanding of corporate finance, securities laws, and mergers and acquisitions.
• Proven track record of drafting and negotiating complex corporate agreements and advising on corporate governance matters.
• Experience working with technology and/or life sciences companies preferred.
• Excellent academic credentials with a demonstrated history of success in a law firm environment.
