Job Overview: A law firm is seeking an Emerging Companies and Growth Corporate Associate Attorney to join their New York City, NY team. The ideal candidate will have 3 years of experience in emerging growth companies and venture capital.

Duties:

• Provide legal counsel and strategic advice to emerging growth companies on corporate governance, financing, and compliance matters.
• Draft and negotiate various corporate agreements, including venture capital financing, mergers and acquisitions, and equity compensation plans.
• Conduct due diligence reviews and prepare disclosure schedules concerning corporate transactions.
• Research and analyze complex legal issues impacting emerging companies and provide recommendations to clients.

Requirements:

• Juris Doctor (J.D.) degree from an accredited law school.
• Admission to the NY State Bar or ability to waive in.
• 3 years of relevant experience in corporate law, specifically with emerging growth companies, and venture capital.
• Strong understanding of securities laws, corporate governance principles, and transactional matters.
