Legal Counsel M&A and Commercial
The candidate will work with the General Counsel, Assistant General Counsel, and Chief Strategy Officer to support the Company’s transactional practice including mergers, acquisitions, joint ventures and venture capital work with strategic partners. Draft, review and revise all relevant documentation including, but not limited to, non-disclosure agreements, term sheets/letters of intent, and all definitive transaction documents and purchase agreements. Manage the due diligence, negotiation, execution/closing, implementation, and post-deal integration processes for complex, global transactions. Manage the efficient use of external legal resources, and help to ensure relevant deal information flow and appropriate coordination between legal and the other cross-functional deal team members. Assist in the development and organization of improved processes and procedures to create a more efficient and streamlined transaction environment. Help to resolve any issues that arise during transactions by working collaboratively with other team members and advisors. Work with Chief Legal Counsels to provide legal support for multiple commercial legal segments/businesses, including providing counsel to the team members making up the sales, operations, finance, human resources, tax, marketing and other departments within such segments/businesses. Review, draft and negotiate various types of commercial agreements with customers, suppliers, distributors, vendors, strategic partners and others. Provide legal and strategic business advice to ensure Terex activities, policies, practices and transactions comply with all Terex corporate policies and all applicable laws, rules and regulations. Provide legal assistance with any strategic projects as such need may arise. Participate in the training and education of Terex team members on a variety of legal issues. Become a trusted advisor and business partner across the Company by providing counsel and guidance for accomplishing overall business objectives. Bachelor’s degree from an accredited four-year university and a J.D. degree from an accredited law school. Be admitted and in current good standing in a state bar. 2+ years of practical legal experience in relevant practice areas; big law experience is a plus. Fluency in English; knowledge of additional languages is desirable. Be results oriented, able to act independently, take initiative and responsibility, set appropriate priorities, multi-task, work efficiently and follow through on projects to completion. Possess strong analytical, written and verbal communication and organizational skills. Have strong business acumen and be able to interact in a collegial and productive manner with other team members located locally and throughout the world. Be of the highest integrity and uphold all ethical and compliance standards.
