Job Overview

A nationally recognized law firm is seeking an associate attorney to join its Finance & Restructuring practice, focusing on corporate trust transactions. The successful candidate will represent financial institutions and corporate trust clients in a wide range of transactional matters, including structured finance, municipal and corporate debt, finance facilities, and document custody. This hybrid role offers a collaborative environment and the opportunity to work on high-level finance matters across multiple industries.

Location

Duties

  • Represent financial institutions and corporate trust businesses in diverse transactional matters

  • Provide counsel on:

    • Structured finance (including RMBS, CMBS, and ABS)

    • Municipal and corporate debt issuances

    • Finance facilities and document custody

  • Draft, negotiate, and review transactional agreements, including:

    • Trust indentures

    • Loan agreements

    • Account control and custodial agreements

    • Agency, pooling and servicing, and disbursement agreements

    • Master services and non-disclosure agreements

  • Manage multiple concurrent transactions and deliver client service at a high level

  • Collaborate with team members across offices and practice areas

Requirements

  • 2–4 years of transactional legal experience, preferably in finance or restructuring

  • Proven experience drafting and negotiating financial and commercial agreements

  • Strong ability to manage multiple complex assignments under tight deadlines

  • Client-oriented communication and problem-solving skills

  • Demonstrated commitment to teamwork and collaboration

Education

  • Juris Doctor (J.D.) from an accredited law school

  • Strong academic credentials preferred

Certifications

  • Admission to the bar in the relevant state or eligibility for prompt admission

Skills

  • Excellent drafting, negotiation, and legal analysis capabilities

  • High attention to detail and organizational efficiency

  • Clear, professional verbal and written communication skills

  • Ability to work effectively with internal and external stakeholders

  • Comfortable working in a fast-paced, transactional environment
