Job Overview

A law firm seeks an Associate Corporate Attorney in New York, NY. The successful candidate will collaborate with partners and other attorneys to execute capital markets transactions and assist clients in compliance with SEC, FINRA, Stock Exchange, and other securities-based legal requirements.

Duties

• Advise clients on initial public offerings, secondary offerings, and other securities sales.
• Draft, review, and negotiate various securities-related documents.
• Assist in forming new entities and structuring organizational documents.
• Work with issuers, investment banks, and financial advisors to manage deal execution.
• Communicate with regulatory bodies to obtain necessary clearances.
• Participate in discussions on deal structuring and problem-solving.
• Review diligence materials and prepare public disclosure and securities filings.

Requirements

• Qualified to practice law in New York.
• Active member in good standing with the New York Bar Association.
• 2-5 years of capital markets experience; SPAC experience is a plus.
• Strong drafting, analytical, and communication skills.

Education

• Juris Doctor (JD) degree from an accredited law school.

Certifications

• Admitted to the New York State Bar.
