Job Overview:
A prominent law firm based in Charlotte, NC, is seeking an experienced associate attorney to join its thriving Investment Funds practice. This role offers the opportunity to work on a diverse range of fund types and structures alongside a multidisciplinary team that advises a wide spectrum of alternative investment clients. Duties:
Assist with the formation, structuring, and ongoing operations of investment vehicles, including private equity, hedge, real estate, hybrid, and venture capital funds
Guide regulatory compliance and governance matters related to investment management
Draft and negotiate fund formation documents, offering materials, and investor agreements
Advise clients on issues involving closed-end funds, interval funds, and business development companies (BDCs)
Collaborate with partners and cross-functional teams on high-value transactions and ongoing fund management issues
Engage directly with clients to provide responsive and strategic legal solutions
Contribute to client development and firm visibility through networking and thought leadership
Requirements:
4-6 years of substantive legal experience in investment management and fund formation
Demonstrated understanding of the Investment Advisers Act of 1940 and related securities regulations
Proficiency with drafting complex fund documentation and negotiating investor-side letters
Ability to work independently and collaboratively in a fast-paced, client-driven environment
Strong verbal and written communication skills with attention to detail
Education:
Juris Doctor (J.D.) from an accredited U.S. law school
Certifications:
Active membership in good standing with at least one U.S. state bar
Eligibility for admission to practice law in North Carolina
Skills:
Expertise in structuring a variety of private investment vehicles
Familiarity with SEC compliance and registration requirements
High level of professionalism and client service orientation
Strong business judgment and analytical thinking
Effective at managing multiple projects and deadlines concurrently
