Duties

• Advise clients on a range of leveraged finance transactions, including syndicated credit facilities, acquisition financings, and other complex lending matters

• Represent borrowers, private equity sponsors, and financial institutions in domestic and cross-border transactions

• Draft and negotiate credit agreements, commitment letters, security documents, and related documentation

• Support corporate clients in connection with M&A and restructuring transactions involving debt financing

• Collaborate with partners and multidisciplinary teams to provide strategic legal advice

• Conduct legal research, due diligence, and risk assessments related to finance agreements

Requirements

• 4 to 8 years of experience practicing in leveraged finance or related areas of law

• Experience with sponsor-backed leveraged finance transactions (preferred)

• Ability to manage multiple matters and deadlines in a fast-paced environment

• Strong attention to detail and organizational skills

• Effective communication and drafting skills for client interaction and negotiations

Education

• Juris Doctor (JD) degree from a top-tier, ABA-accredited law school

Certifications

• Admission to practice law in the jurisdiction of the office location or ability to obtain admission promptly

Skills

• Advanced knowledge of leveraged finance structures and credit documentation

• Ability to analyze and manage complex legal and commercial issues

• Proficiency in legal drafting and transaction structuring
