Job Overview

A law firm seeks an experienced midlevel associate to join their Corporate M&A team in Seattle, WA. The ideal candidate will have three to five years of experience in Corporate M&A, with a preference for those with private equity transaction experience.

Duties

• Draft, review, and negotiate merger agreements, stock purchase agreements, and related documents.
• Manage and close M&A and related transactions.
• Conduct legal due diligence.
• Advise clients on general corporate and business matters.
• Work with partnership agreements, joint ventures, and LLC operating agreements.
• Handle representation and warranty insurance underwriting issues.

Requirements

• Three to five years of Corporate M&A experience.
• Private equity experience preferred.
• Strong academic credentials.
• Excellent communication skills.
• Ability to work independently and as part of a team.

Education

• Juris Doctor (JD) degree.

Certifications

• Admitted to practice law in the relevant jurisdiction.
