Job Overview:
A prominent law firm in San Francisco, CA, is seeking an associate to support a dynamic Banking and Finance group. This position offers exposure to both domestic and cross-border transactions, with a focus on representing financial institutions, direct lenders, and private equity sponsors in various credit arrangements. The ideal candidate will demonstrate a blend of practical deal experience, strong drafting ability, and interest in private credit and structured finance markets.

Duties:

• Handle complex financing transactions, including bilateral and syndicated loan structures

• Represent lenders, borrowers, and private equity sponsors in various debt-related matters

• Draft and negotiate term sheets, loan agreements, inter-creditor agreements, and related documentation

• Conduct due diligence and support closings of multi-party financing deals

• Provide strategic advice in connection with credit risk, collateral packages, and enforcement rights

• Collaborate with cross-functional legal teams on multi-jurisdictional transactions

• Maintain direct contact with clients and participate actively in deal structuring discussions

Requirements:

• 2-6 years of experience in banking and finance matters at a U.S.-based law firm

• Demonstrated capacity to manage deal components independently and lead negotiations

• Strong transactional drafting and analytical skills

• Commitment to client service and responsiveness

• Eligible to practice law in the jurisdiction of employment

Education:

• Juris Doctor (J.D.) degree from an accredited U.S. law school

Certifications:

• Active membership in a U.S. state bar in good standing

• Admittance to the California Bar (or ability to become admitted) is preferred for candidates interested in San Francisco

Skills:
