Job Overview
A law firm seeks a midlevel corporate associate with experience in emerging companies and venture capital for its Washington, D.C. office. The candidate will provide legal guidance on corporate and transactional matters, including formation, financing, and strategic transactions.

Duties

• Advise emerging companies and venture capital investors on corporate matters.
• Draft and negotiate venture capital financing documents.
• Provide guidance on corporate governance, including board and shareholder issues.
• Support mergers, acquisitions, joint ventures, and strategic transactions.
• Conduct due diligence and assist in transactional closings.
• Act as outside corporate counsel to private companies.
• Manage client and counsel relationships.

Requirements

• 3 to 5 years of relevant experience.
• JD from an ABA-accredited law school.
• Licensed or eligible to become licensed to practice law in the District of Columbia.
• Reside in the D.C. area by the time of hire.
• Work in the office at least three business days per week.

Education

• Juris Doctor (JD) from an ABA-accredited law school.

Certifications

• Licensed to practice law in the District of Columbia or eligibility to obtain licensure.
