Job Overview:
A highly respected law firm is seeking a Senior Corporate Associate Attorney for its New York City office. This non-partnership track role is ideal for an experienced attorney who prefers focusing on high-level legal work while minimizing administrative obligations. The position covers a full spectrum of corporate legal matters, including entity formation, M&A, commercial transactions, corporate governance, and strategic planning. The firm offers a collaborative environment and a reduced emphasis on business development and billable hours.

Location:

• New York City, NY

Duties:

• Provide legal support in all areas of corporate and commercial law

• Advise on corporate governance, regulatory compliance, and operational matters

• Draft, review, and negotiate:

  • Shareholder agreements

  • Operating agreements

  • Merger and acquisition agreements

  • Commercial contracts

• Counsel clients across all stages of business operations, including:

  • Entity selection and formation

  • Strategic growth planning

  • Mergers, acquisitions, and restructuring

  • Exit strategies and succession planning

• Collaborate with attorneys from other practice areas to provide integrated legal solutions

• Focus on substantive legal work with minimized administrative responsibilities

Requirements:

• At least 5 years of experience in general corporate law, M&A, commercial transactions, and business planning

• Proven ability to manage sophisticated legal matters with minimal supervision

• Client-focused with a strategic and practical approach to legal advice

Education:

• Juris Doctor (J.D.) from an accredited U.S. law school

Certifications:

• Active bar admission in New York or eligibility to waive in

Skills:

• Strong drafting and negotiation abilities for complex corporate agreements

• Excellent verbal and written communication skills

• Deep understanding of business law and corporate strategy

• Effective collaborator with strong interpersonal skills

• Organized, detail-oriented, and capable of managing multiple priorities
