A law firm seeks a mid-level corporate attorney in Potomac, MD, to join its growing transactional practice. The ideal candidate will have a strong background in corporate and emerging companies' work, with over three years of experience in complex transactional matters, including mergers and acquisitions, private equity, venture capital, and finance.

Duties

• Provide guidance on legal and regulatory issues related to corporate and transactional matters.
• Draft and negotiate transaction documents and manage related due diligence.
• Manage transaction closings and coordinate with clients, investors, and opposing counsel.
• Assist in structuring transactions and developing deal strategy.

Requirements

• 3+ years of experience representing clients in business transactions, particularly in M&A, private equity, venture capital, and finance.
• Maryland Bar admission (or willingness to obtain); DC and VA admission are a plus.
• Strong drafting and negotiation skills.
• Entrepreneurial mindset and enthusiasm for transactional work.

Education

• J.D. from an accredited law school.
