A law firm in New York City, NY, is seeking a Mid-Level Capital Markets Associate Attorney with 3-4 years of experience to join their team. The ideal candidate will be responsible for handling public and private equity offerings, interfacing with regulatory authorities, advising public companies on corporate governance matters, and maintaining client relationships. This position requires admission to the New York Bar.

Duties:

  • Handle public and private equity offerings, including initial public offerings and follow-on offerings.
  • Prepare proxy statements and S-4 registration statements for business combination transactions.
  • Interface with the SEC and other regulatory bodies to ensure compliance.
  • Advise public companies on ongoing reporting requirements under the '34 Act, including 10-Ks, 10-Qs, 8-Ks, and proxy statements.
  • Represent both issuers and underwriters in various transactions.
  • Provide day-to-day counseling to public companies, particularly in matters related to corporate governance.
  • Manage and draft legal documents, contracts, and agreements.
  • Retain and grow existing client relationships by providing exceptional legal services.

Requirements:

  • 3-4 years of relevant legal experience in capital markets and securities law.
  • Admission to the New York Bar.
  • Strong academic background with a Juris Doctor (J.D.) degree from an accredited law school.
  • Client management skills to effectively communicate and maintain client relationships.
  • Exceptional drafting and negotiation skills to craft legal documents and agreements.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  • Admission to the New York Bar.

Skills:

  • Strong knowledge of capital markets and securities law.
  • Proficiency in drafting legal documents, contracts, and agreements.
  • Excellent communication and interpersonal skills.
  • Ability to interface with regulatory authorities and ensure compliance.
