General Counsel
The candidate will under the general direction of the Director, plan, organize, manage and control the activities of the office of the General Counsel, in support of the economic growth and development of the City of Boston; provide legal counsel on legal, administrative and policy issues which affect the BRA/EDIC and its affiliates and coordinate activities of both in-house and outside counsel to that end; oversee, lead and participate in providing general and specialized legal services and counsel to management and staff on BRA/EDIC matters. Oversee general Counsel staff. Participate in the development of overall organizational strategic plan, contributing legal expertise and information, as well as coordination of intra-divisional objectives and initiatives. Create, recommend and implement legal strategic and operational plans; articulate goals for the Office of the General Counsel, ensuring consistency with organizational plans and objectives. Develop and recommend legal policy. Develop and implement operating policies and procedures governing operations of the Office of the General Counsel. Monitor and assess effectiveness of policies; revise and enhance as needed. Directly and through subordinate staff, ensure legal sufficiency of BRA/EDIC transactions, including the negotiating, drafting, execution and enforcement of land disposition agreements, deeds, leases, development agreements, easement agreements, financing documents, funding agreements, service contracts and licenses. Directly and through subordinate staff, provide counsel to BRA affiliated agencies involving loan agreements, compliance with federal, state and city laws, ordinances, regulations and policy. Provide administrative advice regarding operation of programs. Directly and through subordinate staff, lead and participate in the negotiation and drafting of various agreements and contracts with other City of Boston entities and external parties on behalf of the BRA/EDIC. Provide direction and authority levels to staff attorneys. Approve terms and conditions of agreements up to designated limits. Issue covered include but are not limited to the sale, lease or license of BRA/EDIC properties; mortgage loans, promissory notes, escrow agreements and other lending or financing arrangements; zoning matters and linkage; the terms and conditions of the expenditure of BRA/EDIC, city, state and/or federal funds; inter-governmental agreements, etc.. Directly and through subordinate staff, provide direction and liaison to outside counsel on selected projects. Participate in strategic and tactical discussions; monitor preparation and research; review and edit legal instruments and other documents produced. Intervene as necessary to realign efforts and modify strategy. Provide legal counsel and advice to the Director and staff on legal issues. Analyze legal aspects of problems presented with emphasis on real estate development and financing. Recommend courses of action that minimize exposure to liability and are within the agency’s goals and objectives. Provide legal counsel and advice to the Board of Directors, at the direction of the Director. Represent the BRA and/or EDIC and its affiliates (BIDFA, BLDC) before all courts and administrative agencies on diverse cases as assigned. Provide direction to other litigators. Defend BRA/EDIC and affiliates against legal challenges and legally pursue BRA/EDIC debtors. Develop and recommend legal operating budget. Administer approved budgets; authorize purchases; justify variances. Maintain current documentation of all financial transactions. Collaborate with other division managers in cross-divisional initiatives. Lead and participate in initiatives with other City agencies or government bodies. Monitor and enforce compliance with all internal and external regulations and statutes. Perform other related duties as required. Should have J.D. or LL.B., plus membership in the State Bar with 15+ years of progressively responsible related experience as an Attorney, preferably with strong real estate background and background in the public sector. Previous management experience is required.
