A prominent national law firm is seeking a Senior Associate to join its Corporate and Private Equity practice group. This role offers the opportunity to work with a highly respected team of over 90 attorneys handling a wide variety of complex private equity transactions. Ideal for an experienced legal professional with a strong transactional background, the position supports both fund managers and investors, providing end-to-end legal counsel in fund formation and private equity deals.

Location

Duties

• Manage and lead private equity transactions, including:

  • Leveraged buyouts

  • Roll-ups

  • Independent sponsor transactions

  • Minority and junior capital investments

  • “Going private” acquisitions

  • Distressed company acquisitions (in and out of bankruptcy)

• Advise on and structure fund formations across:

  • Private equity

  • Venture capital

  • Growth equity

  • Mezzanine

  • Real estate funds

• Work directly with clients, providing strategic and legal counsel

• Collaborate with internal teams across multiple offices

• Draft, review, and negotiate complex transactional documents

• Contribute to the growth of a nationally ranked private equity platform

Requirements

• 5 to 7 years of legal experience focused on acquisitions and private equity transactions

• Proven ability to lead and manage deal execution independently

• Strong understanding of private equity market practices and investor relationships

• Bar admission in Texas is required

• Demonstrated ability to work effectively both independently and in team settings

Education

• Juris Doctor (J.D.) degree from an accredited U.S. law school

Certifications

• Active membership in the Texas State Bar
