Corporate Counsel II

The candidate will represent the company on legal matters as assigned. Prepare supporting legal documents, such as contracts, memoranda, corporate governance documentation, and other filings. Provides counsel to managers on legal matters impacting their areas of responsibility. Support the Human Resources Department and assisting the Legal Department in managing and handling all U.S. labor and employment matters. Manage and help run all aspects of litigation matters, in the states. Give legal advice with respect to corporate administration; prepares corporate resolutions and forms; anticipates and guards against legal risks involving the company. Review and approve advertising copy and PR statements from a legal standpoint. Participate in legal actions of a somewhat sensitive and somewhat complex nature. Study proposed and existing legislation related to operations of the company and advises affected department. Provide legal advice and support to HR stakeholders and business leaders on a broad range of employment issues such as policies and procedure, recruiting and hiring, employee relations, discipline and terminations, internal investigations, leaves of absence, wage and hour compliance, and restrictive covenants. Investigate and respond to claims, demand letters, administrative complaints and other employment related inquiries. Manage all aspects of litigation matters in the US, Mexico and Canada, including e-discovery, fact-finding and analysis, case management conferences, arbitration as well as retaining and managing outside counsel. Identify and assess legal risks and mitigation measures, determining litigation case strategy and defense. Remain current on emergent labor and employment law developments and advising on impact to the Company and implementation of any necessary changes. High school diploma or equivalent is required. JD degree, with emphasis on corporate law and regulations is required. Should have 2+ years of legal experience. Should preferably have 2+ years work experience as a licensed attorney advising on global and domestic employment matters. Experience in pre-litigation and litigation matters is required.
