Profile

Corporate Counsel
Duties: Provide legal advice and counsel and management staff and assist with the administration of procurement, contract management and compliance programs to achieve strategy and objectives. Advise Vice President/General Counsel, Associate General Counsel and management staff on a broad range of legal matters, including, contracts, procurement, compliance issues, corporate goals and programs, special projects, and the development and implementation of new initiatives. Support Procurement and Contract Program by advising management on the appropriate procurement methods, facilitating procurements and drafting request for proposals, information for bids and procurement documentation and by drafting, reviewing and negotiating contracts with third-party vendors to mitigate risk, maintaining contract documentation and notifying and obtaining necessary approval from the Board of Directors on contracts. Support Corporate Compliance and Ethics Program by providing education and training for employees, assessing policies and procedures to ensure compliance with statutory and regulatory requirements, identify and prioritize risks in areas of non-compliance, develop and draft remediation plans as needed, conduct or assist with investigations of alleged misconduct. Research legal issues (including statutory interpretations) and prepare written analysis and recommendations to management and Board of Directors. Maintain current knowledge of statutes, regulations, and case law and provide current analysis on issues of law which affect KEMI’s business practices and operations. Achieve employee SMART Goals. Perform other duties as requested.
