Corporate Attorney

Profile

A law firm in Orlando, FL, is seeking a Corporate Attorney with experience in either a securities practice or a business practice with M&A experience. The ideal candidate will have a strong background in corporate law and be able to handle various corporate transactions and matters.

Duties:

• Provide legal advice and counsel to clients on corporate transactions and matters.
• Draft and negotiate agreements, contracts, and other legal documents related to securities offerings, fund formation, capital raises, debt offerings, M&A transactions, and other corporate matters.
• Conduct due diligence and risk assessments for corporate transactions.
• Assist clients in complying with regulatory requirements and corporate governance.
• Participate in meetings, negotiations, and closings with clients and opposing counsel.
• Collaborate with internal teams and external stakeholders to achieve clients' goals.

Requirements:

• Law firm experience in either a securities practice or a business practice with M&A experience.
• Strong understanding of corporate law principles and regulations.
• Excellent communication and negotiation skills.
• Ability to work independently and as part of a team.
• Attention to detail and strong analytical skills.
• Adherence to ethical standards and professionalism.

Education:

Juris Doctor (JD) degree from an accredited law school.

Certifications:

Admission to the State Bar.

Skills:
