A nationally recognized law firm is seeking a Corporate Trust Associate with 2–4 years of transactional experience to join its Finance & Restructuring practice group. This role is ideal for attorneys interested in representing financial institutions and corporate trust clients in a range of sophisticated transactions including structured finance, municipal and corporate debt issuances, and finance facilities. The position involves contract drafting and negotiation across various agreements and provides the opportunity to work in a collaborative, team-oriented legal environment.
Represent corporate trust clients and financial institutions on a wide range of transactional matters
Draft, negotiate, and review transactional agreements, including:
Trust indentures
Loan agreements
Account control agreements
Custodial and agency agreements
Pooling and servicing agreements
Servicing, disbursement, master services, and NDA documents
Counsel clients in connection with structured finance transactions (e.g., RMBS, CMBS, ABS)
Advise on municipal and corporate debt issuances and related finance facilities
Work collaboratively across departments to manage deal execution
Handle document custody and compliance elements in financial transactions
2–4 years of transactional legal experience in a law firm or financial institution
Prior experience with corporate trust agreements and financial transaction documentation
Ability to manage multiple transactions and competing deadlines
Demonstrated client service orientation and responsiveness
Strong legal research, drafting, and negotiation skills
Juris Doctor (J.D.) from an accredited law school
Strong academic performance preferred
Admission to the bar in the relevant jurisdiction or eligibility for prompt admission
High-level analytical, drafting, and communication capabilities
Strong attention to detail and organizational skills
Ability to manage complex transactions independently
Collaborative team player with a proactive approach
Excellent client relationship management skills
