Job Overview:
A leading law firm is seeking a highly qualified associate with 2 to 6 years of experience to join its Energy & Infrastructure-focused Debt Finance practice. This position involves advising on domestic and international financing transactions across a range of sectors including renewable energy, oil and gas, conventional power, and digital infrastructure. Ideal candidates will have strong experience in drafting and negotiating financing documents and working with project-related commercial agreements.

Location:

  • New York, NY

Duties:

  • Draft and negotiate credit agreements, note purchase agreements, depositary agreements, and related financing documents

  • Advise on secured lending and project finance structures for energy and infrastructure projects

  • Review and draft commercial project agreements (e.g., EPCs, PPAs, offtake agreements, interconnection agreements)

  • Represent sponsors, developers, direct lenders, institutional investors, and commercial banks

  • Support financing and acquisition transactions across the renewable energy, oil and gas, conventional power, and digital infrastructure sectors

  • Coordinate with tax, regulatory, and M&A counsel to manage complex deal execution

  • Assist with due diligence, closing logistics, and post-closing matters

Requirements:

  • 2 to 6 years of debt finance experience at a national or international law firm

  • Demonstrated background in energy and infrastructure transactions

  • Experience with project finance, acquisition finance, or structured finance preferred

  • Familiarity with commercial and project agreements related to infrastructure development

Education:

  • Juris Doctor (JD) from an accredited U.S. law school

  • Strong academic credentials required

Certifications:

  • Admission to the bar in at least one U.S. jurisdiction

Skills:

  • Advanced drafting and negotiation capabilities

  • Deep understanding of energy and infrastructure markets and financing structures

  • Ability to manage multiple cross-border and complex transactions simultaneously

  • Strong communication and organizational skills

  • Collaborative mindset and a client-service oriented approach
