Job Overview:
A leading law firm is seeking a highly qualified associate with 2 to 6 years of experience to join its Energy & Infrastructure-focused Debt Finance practice. This position involves advising on domestic and international financing transactions across a range of sectors including renewable energy, oil and gas, conventional power, and digital infrastructure. Ideal candidates will have strong experience in drafting and negotiating financing documents and working with project-related commercial agreements.

Duties:
Draft and negotiate credit agreements, note purchase agreements, depositary agreements, and related financing documents
Advise on secured lending and project finance structures for energy and infrastructure projects
Review and draft commercial project agreements (e.g., EPCs, PPAs, offtake agreements, interconnection agreements)
Represent sponsors, developers, direct lenders, institutional investors, and commercial banks
Support financing and acquisition transactions across the renewable energy, oil and gas, conventional power, and digital infrastructure sectors
Coordinate with tax, regulatory, and M&A counsel to manage complex deal execution
Assist with due diligence, closing logistics, and post-closing matters
Requirements:
2 to 6 years of debt finance experience at a national or international law firm
Demonstrated background in energy and infrastructure transactions
Experience with project finance, acquisition finance, or structured finance preferred
Familiarity with commercial and project agreements related to infrastructure development
Education:
Juris Doctor (JD) from an accredited U.S. law school
Strong academic credentials required
Certifications:
Admission to the bar in at least one U.S. jurisdiction
Skills:
Advanced drafting and negotiation capabilities
Deep understanding of energy and infrastructure markets and financing structures
Ability to manage multiple cross-border and complex transactions simultaneously
Strong communication and organizational skills
