Job Overview

A law firm seeks a Corporate Attorney to join their Business Group in Seattle, WA. The role involves providing legal advice on corporate finance, mergers and acquisitions, and business transactions, among other areas. The attorney will work with innovative companies and individuals in the Puget Sound region.

Duties

• Provide legal advice on corporate issues, including mergers and acquisitions, finance, and securities law compliance.
• Draft and negotiate equity financing and convertible debt securities documents.
• Conduct due diligence and manage the due diligence process in M&A transactions.
• Coordinate internal and client teams in strategic transactions.
• Provide training and guidance to legal team members and company employees.
• Maintain attention to detail and produce accurate work in a fast-paced environment.
• Engage professionally in-person, virtually, and through email and phone.
• Supervise the work of legal assistants and possibly paralegals.

Requirements

• Undergraduate and JD degrees from accredited institutions.
• Current WSBA membership.
• At least 6 years of practice as a corporate attorney.

Education

• Undergraduate degree from an accredited institution.
• JD degree from an accredited institution.

Certifications

• Membership with the Washington State Bar Association (WSBA).

Skills

• Excellent legal writing and oral communication skills.
• Strong knowledge of corporate law, including mergers and acquisitions, finance, and securities law.
• Ability to provide sound legal advice on complex matters.
• Effective delegation and training skills.
• Strong organizational and project management skills.
• Ability to handle multiple priorities under tight deadlines.
• Collaborative team player with the ability to work independently.
