Job Overview: A law firm in Stockton, CA, seeks a Business And Commercial Law Attorney to provide comprehensive legal counsel to individuals and businesses on various transactional matters, compliance issues, and corporate reorganization.

Duties:

• Advise individuals and businesses on business organization structures, including corporations and limited liability companies.
• Draft, review, and negotiate various contracts such as management agreements, purchase and sale agreements, and leases.
• Guide on legal compliance issues, including licensing and permitting requirements.
• Counsel officers, directors, and shareholders on their rights and obligations within business entities.
• Offer general legal advice on business or commercial issues as they arise.
• Assist with mergers, acquisitions, and other corporate reorganization processes.
• Advise clients on intellectual property protection and trade secret matters.
• Stay updated on changes in applicable law and inform clients accordingly.
• Research, evaluate, and resolve complex legal matters.
• Develop and maintain client relationships, including attending community events.
• Perform administrative tasks such as timekeeping and invoice review.
• Assign and supervise the work of other attorneys and staff.

Requirements:

• Active membership in good standing with the California State Bar.
• Juris Doctor degree.
• Exemplary ethical standards.
• Preferably 2+ years of experience in legal practice, particularly in business or commercial law.
